SUSQUEHANNA PFALTZGRAFF AGREES TO SELL RADIO, CABLE COMPANIES

  • Susquehanna Radio to be sold to partnership led by Cumulus Media
  • Susquehanna Communications to be sold to Comcast

(YORK, Pa), October 31, 2005 - Susquehanna Pfaltzgraff Co. announced today that it has signed definitive agreements to sell the operations of its Susquehanna Media Co. subsidiary.

  • Susquehanna Radio, its radio operations, will be sold to a partnership consisting of Cumulus Media Inc. (NASDAQ:CMLS), Bain Capital, Blackstone Group and Thomas H. Lee Partners.

  • Susquehanna Communications (SusCom), the cable television and broadband services division, will be sold to Comcast (NASDAQ: CMCSA, CMCSK), the nation's leading provider of cable, entertainment and communications products and services.

"We are extremely proud of both our radio and cable operations, which have outstanding reputations and management teams as well as dedicated and loyal work forces," said Louis J. Appell, Jr., chairman of the privately owned Susquehanna Pfaltzgraff Co. "As we announced previously, however, the passage of time has had a major impact on corporate and family circumstances, and the family shareholders reluctantly decided earlier this year to sell the businesses."

UBS Investment Bank acted as exclusive financial advisor to Susquehanna Pfaltzgraff Co.
